Human Services Terms

The extra terms for Expert Help, the GradeTheBid services a real person does.

NOTICE: GradeTheBid is computer software, and the Human Services are business services. Neither one is a law firm, and neither one is a substitute for the advice of an attorney.

1. What This Addendum Is

1.1 The Parties. This Human Services Addendum (the "Addendum," also called the Human Services Terms) is between Dalton Rios LLC, a Wyoming limited liability company, doing business as GradeTheBid (the "Company," "we," "us," "our"), and the business that buys a Human Service ("you," "your").

1.2 How You Accept It. You accept this Addendum when you pay for a Human Service at checkout, next to the words that say paying accepts it (section 18), or when you sign an Order Form that names this Addendum. Once accepted, it becomes part of the GradeTheBid Terms of Service at app.gradethebid.com/terms (the "Terms") for that Human Service.

1.3 How It Fits With The Terms. The Terms and the Privacy Policy at app.gradethebid.com/privacy (the "Privacy Policy") still apply to everything. This Addendum adds rules for the Human Services. If this Addendum and the Terms disagree about a Human Service, this Addendum controls for that Human Service only. For the software itself, the Terms control.

1.4 Who Runs The Service Today. Dalton Rios LLC runs GradeTheBid today, publishes the Terms, and collects every payment. When Grade The Bid LLC, a Wyoming limited liability company, takes over the Service, this Addendum, the Terms, and any Order or subscription move to it, and we tell you first by email or in the app (section 17.5).

2. Words We Use In This Addendum

  • "Service" means the GradeTheBid software, as the Terms describe it.
  • "Human Service" means any of the services in section 3: Expert Red Team Review, Pro Plus A Human, Done For You, and Bid Team.
  • "Expert" means a person we approve to do Human Service work. Experts are GradeTheBid Certified Experts (section 9). They are independent contractors, not employees.
  • "Assigned Expert" means the Expert we put on your job.
  • "Solicitation" means the government's request (RFP, RFQ, IFB, or similar), with every amendment and every posted question and answer.
  • "Due Date" means the date and time the Solicitation says your bid is due.
  • "Proposal" means what you send the government in answer to the Solicitation.
  • "Deliverable" means what a Human Service gives you: a written review, notes, an outline, a draft, or final files.
  • "Order" means your checkout or your signed Order Form for a Human Service.
  • "Files Complete" means you sent the intake form in the app after your Order, with what section 4 asks for: for a review or Done For You, the Solicitation (and, for a review, your draft) picked in the app or uploaded with it; for Pro Plus A Human and Bid Team, your call times and how to reach you.
  • "Business Day" means Monday through Friday, except US federal holidays, in Central time.

3. The Human Services

3.1 Expert Red Team Review. $1,500 per proposal, one time.

  • What it is: a mock government evaluation of one Proposal you already wrote. An Assigned Expert reads your draft against the Solicitation the way an evaluator would.
  • What you get: a written review that rates each evaluation factor on the evaluators' scale (Outstanding, Good, Acceptable, Marginal, Unacceptable), lists strengths, weaknesses, and deficiencies, flags the items that can get a bid thrown out before anyone reads it (for example a missing signed form, an amendment not acknowledged, an empty price schedule, or a page limit broken), and gives a numbered fix list in the order to fix them. The Assigned Expert also checks the app's own grade and fix list for your draft.
  • Size: one Proposal, up to 100 pages of narrative. A bigger Proposal gets a quote before you pay.
  • Turnaround: within 48 hours after the Start Time (section 5.2).
  • Optional debrief call: one 20-minute call to walk through the review, if you ask within 7 days after delivery and an Expert who takes calls is available.

3.2 Pro Plus A Human. $797 a month: Pro at $297, plus $500 for the human.

  • What it is: the Pro plan, plus a named procurement counselor (an Assigned Expert) for your company.
  • What you get each month: (a) up to 2 calls with your counselor, up to 30 minutes each; (b) a human check on up to 2 grades (your counselor reads the app's grade and fix list on a Proposal and adds written notes within 2 Business Days); (c) help after the win with Wide Area WorkFlow invoicing, CPARS ratings and comments, deliverables, and due dates (section 10.2 says what you may share for it); and (d) answers to messages within 1 Business Day.
  • Unused calls and checks: do not carry over to the next month.
  • The Pro part: follows the Terms in every way, including credits, users, and the 30-Day Money-Back Guarantee (section 7.5).

3.3 Done For You. $4,997 Standard or $9,997 Large, per proposal.

  • What it is: the app writes the first draft from your company profile, and an Assigned Expert finishes the Proposal with you. You review it, sign it, and submit it.
  • Standard ($4,997): up to about 25 pages of narrative (one or two volumes).
  • Large ($9,997): a full federal RFP response, up to about 75 pages of narrative (several volumes).
  • Bigger than Large: a written quote before you pay.
  • The steps: (1) a kickoff call within 2 Business Days after your Files Complete (section 5.1); (2) the compliance matrix and an outline that follows the Solicitation's own order; (3) a first full draft; (4) up to 2 rounds of your changes; (5) final files in the formats the Solicitation asks for, delivered by the Final Delivery Date.
  • Final Delivery Date: at least 2 Business Days before the Due Date, unless your Order says otherwise.
  • Earliest Start: we take a Standard Order only when the Due Date is at least 10 Business Days away, and a Large Order only when it is at least 15 Business Days away, unless the Assigned Expert agrees in writing to a shorter time. If we cannot take your Order for this reason, you get a full refund.

3.4 Bid Team. $9,997 a month, for 2 proposals a month.

  • What it is: 2 Done For You Proposals each month, each up to the Large size, with the same steps and rules as section 3.3. You start each one in the app with Start A Bid Team Proposal.
  • When a slot is used: a Proposal uses a slot on the day of its kickoff call.
  • Unused slots: carry over for one month, then end.
  • Minimum term: None. Month to month; cancel any time.
  • Includes: the Pro plan and everything in Pro Plus A Human for your company while Bid Team is active, at no extra charge.

3.5 What No Human Service Includes. No Human Service includes:

  • submitting, uploading, signing, or certifying anything for you, in any government system or anywhere else;
  • contacting any contracting officer, agency, or government office about your bid or contract;
  • entering data for you in SAM.gov, PIEE, Wide Area WorkFlow, CPARS, or any other government system;
  • setting your prices (we can format a price volume from the prices you give us; every price is yours);
  • legal advice, or an opinion on whether you meet a law, rule, or clause;
  • work on classified, CUI, ITAR, or EAR material (section 10).

4. What You Provide

4.1 For Every Human Service. You give us, inside the app:

  • the full Solicitation, every amendment, and every posted question and answer;
  • the Due Date and how the bid must be submitted;
  • for a review, your current draft;
  • a person who can make decisions and who answers our questions within 1 Business Day while a job is open.

4.2 For Done For You And Bid Team. You also give us:

  • your company facts: legal name, UEI, CAGE code, NAICS codes, and the small business programs you are certified in;
  • past performance you choose to use, with reference contacts you have the right to share;
  • resumes of key people, with their permission;
  • your technical approach, staffing plan, licenses, insurance, bonding, and any forms the Solicitation requires;
  • every price and pricing input.

4.3 Your Facts Are Your Facts. We use only what you give us and public information. When a fact is missing, the draft marks it [NEEDS YOUR INPUT] instead of making it up. We never invent past performance, references, certifications, prices, or people.

4.4 Late Or Missing Inputs. If what we need from you arrives late, our dates move by the same amount, and we tell you in writing if the Final Delivery Date or the review deadline can no longer be met before the Due Date. When the delay is yours, it is not a missed deadline on our side.

5. Turnaround And What Happens If We Miss It

5.1 Our Start Promise And Our Deadlines. Your expert starts within 2 business days of your files being complete. If we cannot start in time, you get a full refund. For a review, starting means the Start Time (section 5.2); for Done For You and Bid Team, the kickoff call; for Pro Plus A Human, your counselor's first message to set up your calls. A full refund here means the whole price of that Order, or for a monthly Human Service the whole payment for that month. Each Human Service also has a finish deadline: 48 hours for a Red Team Review; the dates in section 3.2 for counselor work; and the Final Delivery Date for Done For You and Bid Team.

5.2 When The Red Team Clock Starts. The "Start Time" is when all three are true: (a) your payment is received; (b) your final draft, the Solicitation, and every amendment are in the app; and (c) we confirm the booking in writing. We confirm or decline within 1 Business Day. We take a booking only when the Due Date is at least 4 calendar days after the Start Time; if we decline, you get a full refund. Weekends and US federal holidays do not count toward the 48 hours.

5.3 Changes After The Clock Starts. If you upload a new draft, or the agency issues an amendment after the Start Time, the clock starts again from the change, unless the Assigned Expert agrees to keep the original time.

5.4 If We Miss A Red Team Deadline. When we deliver late through our own fault:

  • delivered up to 24 hours late and before the Due Date: you get a $375 refund (25% of the price), or a $500 credit toward another Human Service, your pick;
  • delivered more than 24 hours late, or after the Due Date: you can choose a full refund.

5.5 If We Miss A Done For You Final Delivery Date. When we deliver late through our own fault:

  • if the late delivery left you unable to submit by the Due Date: a full refund of that Proposal's fee (or of that slot's share of the Bid Team month, which is $4,998.50);
  • if you could still submit on time: a 20% refund of that Proposal's fee, or a credit of 30% toward another Human Service, your pick.

5.6 If We Miss Counselor Work. If your counselor misses a scheduled call, or a grade check comes back late, through our fault: we rebook within 2 Business Days and add one extra call that month. If we do not deliver the calls and checks you asked for in a month, section 7.5 applies.

5.7 Not Our Fault. A deadline is not missed through our fault when the cause is: your late or missing inputs; your changes after the Start Time or after the outline is approved; an amendment, cancellation, or extension by the agency; a conflict you did not tell us about; or an event outside our reasonable control (Terms section 18).

6. Revisions Included

6.1 Red Team Review. For 7 days after delivery: answers to your written questions about the review, and one re-check of a revised draft. The re-check confirms whether the top 10 fixes were made and comes back within 24 hours, if you ask at least 48 hours before the Due Date.

6.2 Done For You And Bid Team. Up to 2 rounds of changes on the first full draft, plus fixes for any mistake we made, at no extra charge. You review each round within 2 Business Days. A change that adds new scope (a new volume, a much longer page limit, or a new Solicitation) is a new Order or a written change with its price.

6.3 Pro Plus A Human. The two grade checks each month are the review work included. More checks can be bought as an Expert Red Team Review.

7. Payment, Refunds, And Cancelling

7.1 Prices And Payment. Prices are in US dollars, plus taxes where they apply. The Expert Red Team Review and Done For You are paid in full at the Order. Pro Plus A Human and Bid Team are paid monthly in advance and renew each month until you cancel, as the Terms describe for monthly plans. Payments are collected by Dalton Rios LLC through Stripe, so your card statement shows Dalton Rios LLC.

7.2 Flat Fees Only. Every Human Service has a flat price. No fee goes up, down, or away because a bid wins or loses (section 12).

7.3 Expert Red Team Review Refunds.

  • Cancelled before the Start Time: full refund.
  • Cancelled after the Start Time and before delivery: 50% refund.
  • We miss the deadline: section 5.4.
  • The review is missing a part section 3.1 promises (for example no factor ratings or no fix list): we fix it within 24 hours. If we cannot, full refund.
  • After delivery: no refund, except as this section says.

7.4 Done For You Refunds.

  • Cancelled before the kickoff call: full refund.
  • Cancelled after the kickoff and before the outline is delivered: 75% refund.
  • Cancelled after the outline and before the first full draft: 50% refund.
  • Cancelled after the first full draft: no refund.
  • The agency cancels the Solicitation: refund for every step not yet started, using the same percentages.
  • The agency extends the Due Date: the dates move with it, and no refund is due.
  • We miss the Final Delivery Date: section 5.5.

7.5 Pro Plus A Human Refunds.

  • The Pro part ($297): follows the Terms. The 30-Day Money-Back Guarantee in the Terms covers Pro, so if you ask within 30 days, we refund the Pro part of your first month.
  • The human part ($500 a month): the 30-Day Money-Back Guarantee does not cover the human part (Terms section 8). But if, in any month, we did not deliver the calls and grade checks you asked for on time, through our fault, we refund the $500 for that month, or give the same amount as a credit, your pick, if you ask within 30 days after that month ends.
  • Cancelling: cancel any time in Plans, then Manage Billing. You keep the plan and your counselor until the end of the month you paid for. There is no refund for a month that has already started, except as this section says.

7.6 Bid Team Refunds. Cancel any time; it ends at the end of the month you paid for. No refund for a month that has already started, except: (a) section 5.5; and (b) a slot we could not staff with an Expert that month is refunded at $4,998.50 each.

7.7 What Is Never A Reason For A Refund. The bid lost. The agency rated you differently than the review or the app did. You disagree with an Expert's judgment. You chose not to make a fix. You missed the Due Date for a reason that was not our fault.

7.8 Our Mistakes And The Law. A double charge, a charge after you cancelled, or a charge for a Human Service we did not deliver: we fix it and refund it, as the Terms say. Where the law requires a refund, we follow the law.

7.9 How To Ask. Email admin@daltonrios.com from your account email. Refunds go back to the original payment method.

8. Counselor Calls: Scheduling And Cancelling

8.1 Booking. You give your best days and times in the intake form in the app, and your counselor sends the invite. Calls are by phone or video, in the Assigned Expert's available hours.

8.2 Rescheduling And Cancelling. Reschedule or cancel at least 24 hours before the call. A call cancelled later than that, or missed without notice, counts as used. We forgive the first late cancel each month.

8.3 If Your Counselor Misses. If your counselor misses a call or cancels with less than 24 hours' notice, the call does not count as used, and section 5.6 applies.

8.4 Recording. Calls are not recorded unless both sides agree at the start of the call.

8.5 Changing Counselors. You can ask for a different counselor at any time. We assign one within 5 Business Days.

8.6 Same Rules For Other Calls. The kickoff and review calls for Done For You and Bid Team, and the optional Red Team debrief call, follow this section.

9. How We Pick And Watch Our Experts

9.1 GradeTheBid Certified Experts. No Expert does paid work for a customer until they are GradeTheBid Certified. To be certified, an Expert:

  • passes a screening test;
  • passes graded practice work on a sample bid, scored against an answer key, with zero invented facts and zero promises of a win;
  • finishes required training on how solicitations are built and graded;
  • for anyone who talks to customers, finishes customer call training and supervised calls;
  • signs a contractor agreement, a confidentiality agreement, and a conflict check.

9.2 Experience. Reviewers and writers have at least 5 years of experience as a contracting officer, contract specialist, source selection evaluator, or proposal manager or writer. Counselors have experience helping businesses with government contracts after the award.

9.3 Keeping Certification. Experts keep certification only while their work stays good: customer ratings after every job, on-time delivery, a monthly spot check of their work, an automatic comparison against the app's own grade, and a yearly recertification.

9.4 Who We Do Not Use. We do not use anyone who works for a government agency now, or for a government-funded small business assistance program now. An Expert who used to work for the government confirms they are clear under the post-government ethics rules that apply to them (for example 18 U.S.C. 207 and 41 U.S.C. 2104), never works on a bid for a buy they worked on or that was under their office, and never uses nonpublic procurement information (41 U.S.C. 2102).

9.5 Where Experts Work. Experts are based in the United States and allowed to work here. Experts work on your files inside the app only. They do not download, copy, print, or email your files. There is one exception: on a Done For You or Bid Team job, if the app cannot produce a file format the Solicitation requires (for example an editable file in the agency's own template), the Assigned Expert may download that one file to their own encrypted device to format it, upload the finished file to the app, and delete their copy the same day. Experts never run your files through outside AI tools.

9.6 Confidentiality. Every Expert is bound in writing to keep your information confidential and to use it only for your job. Your information, prices, and strategy are never shared with another customer.

9.7 Who Is Responsible For Experts. Experts are independent contractors to the Company. We are responsible to you for the Human Service under this Addendum. You deal with the Company, not with the Expert, about price, refunds, and complaints. Do not hire an Assigned Expert directly for proposal work for 12 months after your last job with them without our written okay.

9.8 Sharing Your Files With The Expert. By buying a Human Service, you tell us to share the files and information for that job with the Assigned Expert, and with our quality reviewer if your job is spot checked. This is a sharing you said yes to under the Privacy Policy.

10. What You Must Never Upload Or Share

10.1 The Never List. The Terms (section 6) and the Privacy Policy list what never goes into GradeTheBid. The same rules apply to every Human Service, including calls and messages with an Expert. Never upload, send, read aloud, or show:

  • Controlled Unclassified Information (CUI) or covered defense information;
  • ITAR or EAR technical data;
  • classified information;
  • government information from a contract you hold now, except what section 10.2 allows;
  • another company's confidential or proprietary information you do not have the right to use, including a competitor's proposal or source selection information;
  • Social Security numbers, bank account numbers, or health information.

10.2 What You May Share For Help After The Win. For help after the win (section 3.2(c)), you may share your own invoices, delivery dates, contract and line item numbers, and public award information, as the Terms (section 6) also say. Nothing else from a contract you hold now, and never CUI, ITAR or EAR data, or classified information, even for help after the win.

10.3 If It Shows Up Anyway. If an Expert sees a file marked CUI or one of the above, the Expert stops work and tells us, and we may delete it. A job stopped for this reason is not a missed deadline, and the refund rules in section 7 apply as if you had cancelled at that point.

11. You Stay The Author

11.1 You Review, Sign, And Submit. You are the author of every Proposal and every submission, whether an Expert helped or not. You review every Deliverable before you use it. You sign and submit your own bid. GradeTheBid never submits anything to the government, and no Expert submits anything for you.

11.2 You Verify Every Fact. Before anyone signs, you check every fact, number, price, date, name, reference, representation, certification, and signature in the Proposal. Experts and the app can be wrong.

11.3 False Statements. False statements to the government carry criminal and civil penalties (for example 18 U.S.C. 1001 and the False Claims Act, 31 U.S.C. 3729). Your SAM.gov representations and certifications are yours.

11.4 The Solicitation Controls. If a Deliverable and the Solicitation disagree, the Solicitation wins. Send questions to the agency through the Solicitation's own question process.

12.1 No Promise Of Award. No Human Service, Expert, rating, or fix list promises that you will win, that a Proposal meets every requirement, or that it is complete. Real evaluators decide. An Expert's rating is an opinion, not the government's evaluation.

12.2 Not Legal Advice. Experts are not acting as lawyers, even if one happens to hold a law license. No Human Service creates an attorney and client relationship. For a legal question, ask a government contracts attorney.

12.3 No Contingent Fees. Our fees are flat and are never tied to whether you win a contract, and we pay our Experts flat amounts that are never tied to a win. We do not take a percentage of any contract, a success fee, or a bonus for an award. This is how we stay clear of the federal rules on contingent fees (FAR subpart 3.4 and the Covenant Against Contingent Fees at FAR 52.203-5, or the successor text under the FAR overhaul). Whether our fees are an allowable cost on any of your contracts is a question for your own advisors.

12.4 No Government Tie. The Company and its Experts are not part of, and are not endorsed by, any government agency.

13. Conflicts

13.1 One Expert, One Side. We will not have the same Expert work on competing bids for the same Solicitation.

13.2 Other Customers On The Same Bid. Many businesses bid on the same public Solicitations, so we may serve other customers bidding on the same Solicitation, with different Experts. We never share one customer's files, prices, strategy, or identity with another.

13.3 Telling Us About Conflicts. Tell us at booking if you know of a conflict (for example, you are teaming with or competing against a business you think may use GradeTheBid). If a conflict comes up during a job, we move the job to another Expert. If we cannot move it in time to meet the deadline, you can choose a full refund.

14. Who Owns The Work

14.1 Your Deliverables Are Yours. As the Terms say (section 15), you own what you upload and what we make for you. When you have paid for a Human Service, you own its Deliverables. The Assigned Expert has no rights in them.

14.2 What Stays Ours. We keep our software, templates, checklists, methods, and general know-how, and we can keep using them for any customer. Nothing in a Deliverable gives you rights in the Service beyond the Terms.

14.3 No Training, No Reuse. We do not use your files to train AI models. We do not use your files to improve the Service unless you give a separate yes, as the Privacy Policy says.

14.4 Where Your Files Live. Files for a Human Service live in the app. While a Human Service job is open, its files, and the proposal job in the app it uses, are kept. They are kept for 30 more days after the job is delivered or refunded, and then they are deleted under the Privacy Policy's normal rules. Download your final files.

15. Limits Of Liability For Human Services

15.1 The Cap. To the extent the law allows, our total liability for all claims about a Human Service is limited to the fees you paid for that Human Service. For Pro Plus A Human and Bid Team, that means the fees you paid for that Human Service in the 3 months before the claim.

15.2 What We Are Not Liable For. To the extent the law allows, we are not liable for lost contracts, lost bids, lost profits, lost revenue, lost data, or any indirect, special, incidental, or consequential damages, as the Terms say (section 12).

15.3 How The Caps Work Together. For a claim about a Human Service, the cap in this section controls. The cap in the Terms covers the software. The two caps never add together for the same claim.

15.4 You Cover Us For Your Submissions. Section 13 of the Terms (you cover us for claims about what you submit) applies to every Human Service.

16. Ending A Human Service

16.1 You Can End It. You can cancel as section 7 says.

16.2 We Can End It. We can stop a Human Service if you break this Addendum or the Terms, if you ask an Expert to do something section 3.5, 10, or 11 forbids, if you treat an Expert abusively, or if we no longer offer it. When we stop a Human Service for a reason that is not your fault, we refund the fees for work not yet done.

16.3 What Survives. Sections 9.6, 10, 11, 12, 14, and 15 stay in effect after a Human Service ends.

17. Other Terms

17.1 Law And Disputes. This Addendum follows section 16 of the Terms: Wyoming law, 30 days to try to work it out first, then the state courts in Sheridan County, Wyoming, or the federal court for the District of Wyoming.

17.2 Changes. We may change this Addendum for future Orders. A change does not affect an Order you already placed. For monthly Human Services, a big change starts at your next renewal after at least 30 days' notice, as the Terms say.

17.3 Whole Agreement. For a Human Service, this Addendum, your Order, the Terms, and the Privacy Policy are the whole agreement, as section 18 of the Terms says.

17.5 Moving This Agreement. We may assign this Addendum, the Terms, any Order Form, and any subscription to Grade The Bid LLC, or to a successor in a merger, sale, or transfer of the business, with notice to you by email or in the app. You may not assign them without our written consent.

18. The Words At Checkout

Next to every buy button for a Human Service, and on the checkout page, the app shows the price, what renews, how to cancel, the refund rule, the start promise, and these words: "By paying, you agree to the Human Services Terms, the Terms Of Service, and the Privacy Policy. You review, sign, and submit your own bid. GradeTheBid never submits anything, and no service promises an award."

Order Form

Used when an Order is different from this Addendum (for example a Proposal bigger than the sizes in section 3, a quote, or other dates) and when you ask for one. Checkout covers everything else.
