Terms Of Service

The agreement between you and Dalton Rios LLC for GradeTheBid, in plain words.

NOTICE UNDER TEXAS GOVERNMENT CODE SECTION 81.101(c): GradeTheBid is computer software. IT IS NOT A SUBSTITUTE FOR THE ADVICE OF AN ATTORNEY.
1. These Terms
These Terms of Service are an agreement between you and Dalton Rios LLC, a Wyoming limited liability company ("we," "us," "our"), for GradeTheBid (the "Service"), at app.gradethebid.com and gradethebid.com. If you use the Service for a company, you agree for that company and confirm you have the authority to do so. Our Privacy Policy at app.gradethebid.com/privacy explains how we handle your data and is part of these Terms. By creating an account or using the Service, you agree to these Terms.
2. Not A Law Firm
The Service is software. It is not a law firm, it does not give legal advice, and it is not a substitute for the advice of an attorney. The clause check shows what a solicitation lists, gives plain notes, and links to the official text. It never tells you that you are compliant. Using the Service does not create an attorney and client relationship with anyone. For a legal question, ask a government contracts attorney.
3. What The Service Does
The Service helps you work on a government bid (federal, or state, city, county, or school district in any of the 50 states or the District of Columbia). It can:
- Read a solicitation you upload and build a compliance matrix, with the instructions (Section L or its equivalent) mapped to how the bid will be graded (Section M or its equivalent).
- Look up the FAR, DFARS, and Texas requirements the solicitation lists in our reviewed clause library, and give plain notes with links to the official text.
- Draft sections from the facts in your company profile, and mark anything missing as [NEEDS YOUR INPUT] instead of making it up.
- Grade a draft the way an evaluator might, with a score, a rating, and a numbered fix list.
The Service does not submit, sign, or certify anything, and it does not talk to any government office for you. GradeTheBid never submits anything to the government. You download your files and submit them yourself. AI can be wrong. It can misread a page, miss a requirement, or state something that is not true.
4. You Are The Author
- You are the author of every proposal and every submission. You are responsible for every word, number, price, representation, and certification you send to any government buyer, whether the Service helped write it or not.
- Check every fact before anyone signs. The grade report ends with a fact check list for this reason.
- False statements to the government carry criminal and civil penalties, for example under 18 U.S.C. 1001 and the False Claims Act (31 U.S.C. 3729).
- The Service never certifies your size, your status, your set-aside eligibility, or your compliance. Your SAM.gov representations and certifications are yours.
- The solicitation and the contracting officer control. If the Service and the solicitation disagree, the solicitation wins. Send questions through the solicitation's own question process.
5. Your Account
- You must be 18 or older and give us true information.
- Keep your sign-in safe and turn on two-factor login. You are responsible for everything done under your account. Tell us right away at admin@daltonrios.com if you think someone else got in.
- Each plan comes with a set number of users. Do not share one login among several people.
6. What You May Not Upload
Do not upload any of the following:
- Controlled Unclassified Information (CUI) or covered defense information
- ITAR or EAR technical data
- Classified information
- Government information from a contract you hold now
- Another company's confidential or proprietary information you do not have the right to use, including a competitor's proposal or source selection information
- Social Security numbers, bank account numbers, or health information
After-the-win help. For help after the win (Pro Plus A Human and Bid Team, section 9A), you may upload your own invoices, delivery dates, contract and line item numbers, and public award information. Nothing else from a contract you hold now, and never CUI, ITAR or EAR technical data, or classified information.
Before each upload, you confirm with a checkbox that the file contains none of these. The Service is not built or authorized to hold this kind of data. If you upload it anyway, you are responsible for what follows, including any reporting duties under your own contracts, and we may delete it and suspend your account.
7. Credits
What credits are. Credits are units that pay for steps in the Service:

A proposal grade (read and grade) on a solicitation of 150 pages or less takes 10 credits. A full proposal (read, draft, grade) on a solicitation of 150 pages or less takes 20 credits. The Service shows the cost before you run a step.
When credits are taken. Only when a step finishes. A step that fails costs nothing. If credits were taken for a failed step, we put them back.
Plan credits. Each plan adds its credits every month, including a plan paid by the year. Unused plan credits carry into the next month, but your plan credit balance never goes above two months of your plan's credits; anything above that cap expires at the monthly refill. Plan credits are used before pack credits. When a paid plan ends, its plan credits above the Free plan's monthly amount end with it.
Pack credits and Extra Grades. Extra Grades are a one-time purchase of 5 more proposal grades for $100, on any paid plan. Extra Grades and credit packs do not expire while your account is open. They stay usable even if you cancel your paid plan, as long as your account stays open. Packs sold before Oct 10, 2026 (the One Full Proposal pack, later called the Two Bid Checks pack) keep these rules for anyone who bought one, but they are no longer offered.
Free, trial, and bonus credits. Credits we give away (Free plan, trial, referral, or promotion credits) have no purchase price and end as stated when we give them.
No cash value. Credits are not money and not property. They cannot be sold, transferred, or exchanged for cash, except as section 8 says. Credits end when your account closes.
Changes to credit costs. We may change how many credits a step takes, or how many credits a plan includes, with at least 30 days' notice by email. If we raise the credit cost of a step, you can ask for a refund of unused pack credits you bought before the notice.
8. Refunds
Our rule, in plain words:
- 30-Day Money-Back Guarantee. Try GradeTheBid for 30 days. If it does not help you send a better bid, email us and we refund your first month. No questions asked. The guarantee covers Pro, including Pro that starts at an event intro price (section 9); there, "your first month" means the first month you paid for. On Pro paid yearly, the guarantee covers your first 30 days too: email us within 30 days of your yearly payment and we refund the whole yearly payment. There is no money-back guarantee on Enterprise, Extra Grades, gifts, or the human services (section 9A), with one exception: on Pro Plus A Human, the guarantee covers the Pro part ($297 of your first month). The free proposal grade costs nothing to refund.
- Monthly plans: apart from the guarantee above, no refund for a month that has already started. When you cancel, you keep your plan until the end of the month you paid for. (The free proposal grade lets you try the Service before you pay.)
- Yearly plans: apart from the guarantee above, no refund for a year that has already started. When you cancel, you keep your plan until the end of the year you paid for.
- Extra Grades and credit packs: a full refund if you ask within 14 days of buying and none of that purchase's grades or credits have been used. After 14 days, or once any of them are used, no refund.
- Gifts: a full refund if you ask within 14 days of buying and the gift has not been redeemed. Once it is redeemed, no refund.
- Human services (Pro Plus A Human, the Expert Red Team Review, Done For You, and Bid Team): the human work is refunded only as the Human Services Terms say, for example when we do not start in time or do not deliver. Your expert starts within 2 business days of your files being complete. If we cannot start in time, you get a full refund.
- Our mistakes: a double charge, a charge after you canceled, or a charge for a step that failed. We fix it and refund it.
- If we shut down the Service: we refund unused Extra Grades, unused pack credits, and the unused part of any prepaid period (section 14).
- Where the law requires a refund, we follow the law.
To ask for a refund, email admin@daltonrios.com from your account email. Refunds go back to the original payment method through Stripe.
9. Plans, Subscriptions, And Cancelling
- Plans and prices are on our Plans page. Prices are in US dollars, plus taxes where they apply. Today: the Free Proposal Grade $0 (one proposal grade, once, at sign-up, no card); Pro $297 a month, or $2,970 a year paid up front (up to 10 full proposals a month, write and grade, every tool, 5 team sign-ins); Extra Grades $100 (5 more proposal grades, on any paid plan); and Enterprise $2,997 a month or $29,970 a year. The human services (section 9A): Pro Plus A Human $797 a month; the Expert Red Team Review $1,500 one time, per proposal; Done For You $4,997 per proposal up to about 25 pages, or $9,997 for a full federal RFP; and Bid Team $9,997 a month. Older plans that are no longer offered keep working for anyone already on them, with the tools they had.
- What each plan includes. The Free Proposal Grade checks one bid: the compliance matrix, Section L mapped to Section M, the grade and fix list, the Responsiveness Check, the State Checklist and State Rules, the clause check, past federal awards, and the Final Package Check. Pro and Enterprise include all of that plus the tools that do the work, such as the first-draft writer, Fill The Gaps and the Final PDF, Ask This Bid, Find Work and bid alerts, the Bid Tracker, the Content Library, the Contract Manager and getting-paid tools, the Invoice Check, and comments and tasks. The Plans page lists the tools on each plan. If your plan changes to one without a tool, what you made with it is not deleted because of the change (the normal retention rules still apply), and the tool opens again when you move to a plan that has it.
- Automatic renewal. Paid plans renew every month (or every year, on a yearly plan) until you cancel. By subscribing, you allow us, through Stripe, to charge your payment method each time it renews.
- Cancel any time: open Plans and press Manage Billing (the Stripe billing portal). Cancelling stops future charges. Your plan stays on until the end of the month (or the year, on a yearly plan) you paid for.
- Free Proposal Grade. One proposal grade, given once, when you make your account. It does not ask for a card, does not renew each month, and does not turn into a paid plan by itself.
- Event intro prices. We sometimes offer a time-limited intro price at events; the offer page shows the intro price, how long it lasts, and the regular price it moves to before you pay. When the intro period ends, your plan moves to the regular price for that plan (for Pro, $297 a month today) on its own, with nothing for you to do, and renews every month until you cancel. You can cancel any time, including before the first charge at the regular price. An intro price is only for the people it is offered to, only through the end date on the offer, and it cannot be combined with another offer. Any review or case study you give after getting an intro price says that you paid a reduced intro price.
- Extra Grades. A one-time purchase of 5 more proposal grades for $100, on any paid plan. They do not renew. Section 7 says how long they last, and section 8 says when they can be refunded.
- Gifts. Gift A Month ($297) and Gift A Year ($2,970) are one-time purchases of Pro for someone else. They do not renew. After you pay, you get a link to pass on yourself. A gift link works one time, and you cannot redeem your own gift. If the person you give it to is on the Free plan, they get Pro until the gift ends and then go back to the Free plan. If they already pay for a plan, they get the gift's credits instead.
- Price changes. We email you at least 30 days before a price change. It starts at your next renewal after the notice. If you do not want it, cancel before then.
- Failed payments. Stripe tries again. If the payment is still not made when Stripe stops trying, your plan ends and your account moves to the Free plan. Your data stays under the normal retention rules.
- Changing plans. A new paid plan starts as soon as you pay for it. You never pay for two plans for the same time: if you were charged for both, we refund the overlap.
- Team sign-ins. Each plan has a set number of sign-ins (Pro 5, Enterprise unlimited). The account owner controls who has one. If you run the Service for your clients, for example as a consultant, you must have each client's permission to upload their information, you are responsible for your clients' content and for your clients following these Terms, and your clients are not our customers.
9A. Human Services
Some services are done by a real person, a GradeTheBid Certified Expert: Pro Plus A Human ($797 a month: Pro at $297 plus $500 for a named procurement counselor), the Expert Red Team Review ($1,500 one time, per proposal), Done For You ($4,997 per proposal up to about 25 pages, or $9,997 for a full federal RFP), and Bid Team ($9,997 a month for 2 Done For You proposals a month, plus everything in Pro Plus A Human). Their own rules are in the Human Services Terms, which become part of these Terms for anyone who buys one.
- The start promise. Your expert starts within 2 business days of your files being complete. If we cannot start in time, you get a full refund.
- You stay the author. You review, sign, and submit your own bid. GradeTheBid never submits anything, and no person or service promises an award.
- Pro Plus A Human and Bid Team are plans. They include Pro's credits, tools, and sign-ins. Moving between Pro and one of them is a plan change (Changing plans, section 9): you are never billed for both.
- Refunds and the guarantee. Section 8 and the Human Services Terms.
10. Acceptable Use
Do not:
- Break any law, including procurement integrity, anti-kickback, and antitrust laws.
- Use the Service to coordinate bids or prices with competitors.
- Make up past performance, references, certifications, or statuses.
- Upload material you have no right to use (section 6).
- Get around credits, limits, or security, or share a login.
- Copy, scrape, resell, or reverse engineer the Service, or pull our prompts or clause library out in bulk, unless a signed Enterprise or white label license says otherwise.
- Feed the Service instructions meant to make it misbehave.
- Use the Service to build a competing product.
- Upload malware or attack the Service.
We may suspend or close an account that breaks these rules. When we can, we tell you first and give you a chance to fix it.
11. No Guarantees
- No promise of award. A grade is our software's estimate. It is not the government's evaluation. Real evaluators decide. No grade, fix list, or feature promises an award.
- No guarantee of compliance or completeness. The Service can miss a requirement or misread a page.
- The rules change. The federal rulebook (the FAR) is being rewritten, and agencies adopt changes on their own dates. Our clause library shows the date it was last reviewed. It may be out of date or missing items. The solicitation and the official text control.
- Not affiliated with any government agency. No government agency endorses the Service.
- As is. To the extent the law allows, the Service is provided "as is" and "as available," without warranties of any kind, including merchantability, fitness for a particular purpose, and non-infringement. We may change or remove features.
12. Limits Of Liability
To the extent the law allows:
- We are not liable for lost contracts, lost bids, lost profits, lost revenue, lost data, or any indirect, special, incidental, or consequential damages.
- Our total liability for all claims about the Service is limited to the greater of (a) what you paid us in the 12 months before the claim, or (b) $100.
- For a claim about a human service (section 9A), the cap in the Human Services Terms controls instead. The two caps never add together for the same claim.
Some states do not allow some of these limits. Where that is true, they apply as far as the law allows.
13. You Cover Us For Your Submissions
If anyone, including a government agency, makes a claim against us because of something you submitted, something you uploaded, or your breaking these Terms or the law, you will cover our reasonable losses and costs, including lawyer fees.
14. Ending The Service
- You can close your account any time by emailing admin@daltonrios.com from your account email.
- We can suspend or close an account for breaking these Terms, for nonpayment, or to protect the Service or other customers.
- If we shut down the Service, we give at least 30 days' notice and refund unused Extra Grades, unused pack credits, and the unused part of any prepaid period.
- After an account closes, we delete your data as our Privacy Policy says.
- Sections 4, 6, 7 (no cash value), 11, 12, 13, 15, 16, and 18 stay in effect after your account closes.
15. Your Content And Ours
- Your content stays yours. You own what you upload. As between you and us, you also own the drafts, matrices, and grades the Service makes for you.
- What you let us do with it. You give us permission to store, copy, and process your content only to run the Service for you, keep it safe, and follow the law. We do not use your content to train AI models.
- Similar results. Many customers work on the same public solicitations, so the Service may give other customers similar results.
- What stays ours. We own the Service: the software, the clause library, the prompts, the grading method, the design, and the name. You get a limited, non-exclusive, non-transferable right to use the Service under these Terms while your account is in good standing.
- Feedback. If you send us ideas, we may use them without owing you anything.
16. The Law That Applies And Where Disputes Go
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules. Before filing any claim, contact us at admin@daltonrios.com and give us 30 days to try to work it out. Any claim that is not worked out goes to the state courts in Sheridan County, Wyoming, or the federal court for the District of Wyoming.
17. Changes To These Terms
For a big change, we email account holders and post a notice in the app at least 30 days before it takes effect. For paid plans, a big change starts at your next renewal after the notice. If you do not agree, cancel before it takes effect. Using the Service after that date means you accept the new Terms.
18. Other Legal Terms
- Whole agreement. These Terms and the Privacy Policy, plus any addendum you accept (such as the Human Services Terms) and any order form you sign, are the whole agreement between you and us about the Service.
- Moving the agreement (assignment). We may assign these Terms, and any Human Services Terms, order form, or subscription you have with us, to Grade The Bid LLC, or to a successor in a merger, sale, or transfer of the business, with notice to you by email or in the app. You may not assign them, or move your account to someone else, without our written consent.
- If one part fails. If a court finds part of these Terms unenforceable, the rest stays in effect.
- No waiver. If we do not enforce a term once, we can still enforce it later.
- Export laws. You follow US export control and sanctions laws when you use the Service.
- Events outside our control. We are not responsible for delays caused by events outside our reasonable control, such as outages at our providers.
- Electronic notices. You agree to get notices from us by email and in the app.
